Terms of Service

Please read these Terms of Service (“Terms”) carefully before accessing or using the Spatius platform. These Terms constitute a legally binding agreement between you (“you” or “Customer”) and SPATIALWALK PTE. LTD., a company incorporated in Singapore (“SpatialWalk,” “we,” “us,” or “our”), operator of the Spatius platform.

By creating an account, accessing the Live Demo at spatius.ai/playground, integrating our SDK, or otherwise using our services (collectively, the “Platform”), you agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Platform.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Definitions

  • “Consumer Service” means the Live Demo available at spatius.ai/playground.
  • “Developer Service” means access to the Spatius SDK, API, and Developer Dashboard.
  • “Developer App” means a third-party application built using the Spatius SDK.
  • “Generated Avatar” means a 3D avatar model generated using the Spatius Platform from uploaded photographs.
  • “Customer Content” means any data, images, text, audio, or other materials you submit to the Platform.
  • “Output” means any content generated by the Platform in response to your inputs, including Generated Avatars and synthesized audio.

2. Account Registration & Access

2.1 Registration

To access certain features, you must create an account. You may register using:

  • An email address and password;
  • Your Google account; or
  • Your GitHub account.

By registering via Google or GitHub, you authorize us to receive your name, email address, profile photo, and unique account identifier from those platforms.

2.2 Account Accuracy

You agree to provide accurate, current, and complete registration information and to keep it updated. We may suspend or terminate accounts based on inaccurate information.

2.3 Account Security

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@spatius.ai if you suspect unauthorized access.

2.4 Account Restrictions

You must not share your account credentials, transfer your account to another party, or allow third parties to access the Platform through your account except as expressly permitted by these Terms.

2.5 No Property Interest

Your account does not confer any property right. We may modify, suspend, or terminate accounts in accordance with these Terms.

3. Platform License

3.1 Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Consumer Service for your personal or internal business purposes; and
  • Integrate the Developer Service into your Developer Apps and make the resulting functionality available to your end users.

3.2 Restrictions

You must not:

  • Sublicense, resell, or white-label the Platform without our prior written consent;
  • Reverse engineer, decompile, or disassemble any part of the Platform;
  • Use the Platform to build a competing product or service;
  • Remove or obscure any proprietary notices on the Platform; or
  • Use the Platform in any way that violates our Acceptable Use Policy.

4. Customer Content & Outputs

4.1 Your Content

You retain ownership of all Customer Content you submit to the Platform. By submitting Customer Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your Customer Content solely to provide and improve the Platform.

4.2 Generated Avatars & Outputs

You retain ownership of Outputs generated through your use of the Platform, subject to these Terms and our Acceptable Use Policy. You are solely responsible for how you use and distribute Outputs.

By uploading a photograph to generate a Generated Avatar, you represent and warrant that:

  • You have obtained explicit, informed consent from every individual depicted in the photograph for the specific use you intend; and
  • The upload and use of the photograph does not violate any applicable law or third-party rights.

4.4 AI-Generated Content Disclosure

You acknowledge that Outputs are AI-generated and may not be unique - other users may generate similar content. You agree to disclose the AI-generated nature of Outputs to end users of your Developer App and in any public-facing context where deception could result.

4.5 No Reliance on Output Accuracy

Outputs may contain inaccuracies. You are solely responsible for verifying the accuracy of any factual claims in Outputs before relying on or distributing them.

4.6 AI Model Improvement

We may use aggregated, de-identified, and anonymized data derived from Platform usage to improve our AI models. We will not use your personally identifiable Customer Content for AI training without your separate, explicit consent.

5. Fees & Payment

5.1 Pricing

Access to certain features of the Platform requires payment of fees as set out in our pricing page. All fees are in US dollars unless otherwise stated.

5.2 Payment Processing

Payments are processed via Stripe. By providing payment information, you authorize us to charge your payment method for applicable fees. We do not store raw payment card numbers.

5.3 Subscriptions & Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle at the then-current price unless cancelled before the renewal date. You may cancel at any time through your account settings.

5.4 Non-Refundable

All fees are non-refundable except where required by applicable law or as expressly stated in these Terms. If you cancel a subscription, you will retain access through the end of the current billing period.

5.5 Taxes

You are responsible for all applicable taxes, duties, and levies arising from your use of the Platform. Fees do not include taxes unless expressly stated.

5.6 Price Changes

We will provide reasonable advance notice of material price changes. Continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.

6. Intellectual Property

6.1 Our IP

The Platform, including all software, technology, designs, trademarks, and content created by us (excluding Customer Content and Outputs), is owned by or licensed to SpatialWalk. Nothing in these Terms transfers ownership of our intellectual property to you.

6.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Platform, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

7. Third-Party Services

The Platform integrates with third-party services including Google and GitHub (for authentication), Stripe (for payments), LiveKit Cloud (for real-time communications), and PostHog (for analytics). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

8. Confidentiality

Each party agrees to keep the other party’s non-public, confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation does not apply to information that is publicly available, independently developed, or received from a third party without restriction.

9. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM; OR (B) SGD 100.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits liability that cannot be excluded under applicable Singapore law, including liability for fraud, gross negligence, or death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless SpatialWalk and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform in violation of these Terms or our Acceptable Use Policy;
  • Your Customer Content or Outputs;
  • Your failure to obtain required consents for likeness or image uploads; or
  • Your Developer App and its impact on end users.

12. Term & Termination

12.1 Term

These Terms remain in effect while you have an account or use the Platform.

12.2 Termination by You

You may terminate your account at any time through your account settings. Termination does not entitle you to a refund of prepaid fees.

12.3 Termination by Us

We may suspend or terminate your access to the Platform immediately and without notice if:

  • You materially breach these Terms or our Acceptable Use Policy;
  • We are required to do so by law; or
  • We reasonably believe continued access poses legal or reputational risk.

12.4 Effect of Termination

Upon termination, your license to use the Platform ends. We may delete your Customer Content and account data as described in our Privacy Policy. Sections 4, 6, 8, 9, 10, 11, 13, and 14 survive termination.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@spatius.ai and attempt to resolve the dispute in good faith. We will try to respond within 30 days.

13.2 Governing Law

These Terms are governed by the laws of Singapore, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the courts of Singapore. If you are a consumer located in the EU or UK, you may also bring claims before the courts of your country of residence.

13.4 Class Action Waiver

To the extent permitted by applicable law, you waive the right to participate in class action proceedings. This waiver does not apply where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and SpatialWalk regarding the Platform and supersede all prior agreements.

14.2 Amendments

We may update these Terms at any time. We will notify you of material changes by email or in-Platform notice. Continued use after the effective date of changes constitutes acceptance.

14.3 Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

14.4 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.6 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, or infrastructure failures.
